Welcome to Booked Ai Systems. These Terms of Service ("Terms") govern your access to and use of our website, products, and services (collectively, the "Services") provided by Booked Ai Systems ("Booked Ai Systems," "Company," "we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

1. Services Provided

Booked Ai Systems provides digital marketing, automation, and customer communication services, including but not limited to:

  • AI receptionist and AI-assisted customer communication services
  • Website, landing page, and marketing page setup and support
  • CRM setup, automation, and workflow integration
  • SMS, email, and phone-based customer follow-up systems
  • Appointment booking, scheduling, reminders, and confirmations
  • Lead capture, inquiry management, and customer communication tools
  • Digital marketing support and related business growth services

We may modify, suspend, or discontinue any part of the Services at any time, subject to any written service arrangement then in effect.

2. Eligibility

You may use our Services only if you are at least 18 years old and capable of entering into a legally binding agreement.

3. Use of Services

You agree to use our Services only for lawful purposes and in compliance with all applicable laws, regulations, industry standards, carrier requirements, and platform rules, including those relating to privacy, consent, electronic communications, and marketing.

You must not use our Services for any unlawful, deceptive, abusive, misleading, fraudulent, unsolicited, or unauthorized purpose.

4. Client Responsibilities

As our client or user, you agree to:

  • Provide accurate, current, and lawful information
  • Be responsible for the legality of the content, contact lists, and consents you provide to us
  • Obtain any consents, permissions, and approvals required for your communications and marketing activities
  • Use our Services ethically and in accordance with applicable law and industry standards
  • Ensure that your use of our Services does not infringe the rights of any third party

You are solely responsible for your business decisions, campaigns, offers, messages, and compliance obligations.

5. SMS, Email, AI Voice, and Appointment Communications

If you use or interact with our Services involving SMS, email, AI voice, phone communications, appointment booking, reminders, or confirmations:

  • Required consent must be obtained before sending messages where consent is required by law
  • Opt-in information and consent records must be accurate and verifiable
  • Opt-out instructions must be provided where required
  • Message content, frequency, and purpose must match the disclosures provided at the point of consent
  • Message and data rates may apply where applicable

We do not guarantee message delivery, call connection, booking completion, inbox placement, or uninterrupted platform availability. Carriers, email providers, and third-party platforms are not liable to you through us for delayed or undelivered communications.

6. Appointments and AI-Assisted Interactions

Our Services may include AI-assisted chat, AI-assisted voice tools, forms, scheduling tools, and related automations. These tools are provided to help manage inquiries, communications, and appointments, but they may not be error-free, uninterrupted, or suitable for every use case.

Important: You are responsible for reviewing and confirming important information, including appointment details, before relying on it.

7. Payment Terms

We offer both one-time services and monthly recurring services. Unless otherwise stated by us in writing:

  • Fees are due as stated on the applicable invoice, checkout page, or service offer
  • Monthly services automatically renew until cancelled in accordance with these Terms
  • If payment is not received when due, we may suspend or restrict Services
  • We may pause or remove access to pages, automations, CRM setups, or related systems we manage if payment is overdue

8. Cancellation and Auto-Renewal

Monthly services automatically renew until cancelled. Either party may cancel monthly services by giving 30 days' notice. At the end of that notice period, we may stop the affected Services and remove related access under our control.

Cancellation does not affect any fees already earned, accrued, invoiced, or otherwise owing up to the effective cancellation date.

9. Refunds

All payments are non-refundable, except where required by applicable law or where we agree otherwise in writing.

10. Intellectual Property

Unless otherwise agreed by us in writing, all backend materials, systems, workflows, strategies, automations, and related work product created or configured by Booked Ai Systems remain the property of Booked Ai Systems.

Upon full payment of applicable fees, and subject to your continued compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the deliverables, systems, and pages we configure for your internal business operations.

11. Portfolio and Promotional Use

We will not display your completed work, business name, branding, or project materials in our portfolio, case studies, or marketing materials without your permission.

12. Confidentiality

Each party agrees to keep confidential any non-public, proprietary, or confidential information received from the other party and to use such information only for the purpose of the Services, except where disclosure is required by law or authorized in writing.

13. Third-Party Platforms and Services

Our Services may rely on or integrate with third-party platforms, hosting providers, communication providers, software vendors, and tools, including GoHighLevel / LeadConnector and LandingSite.ai.

These third-party services may have their own:

  • Terms of use
  • Privacy policies
  • Pricing
  • Availability limitations
  • Service interruptions
  • Technical issues

We are not responsible for the policies, pricing, downtime, outages, delays, availability, or performance of third-party services, except as required by applicable law.

14. No Guarantee of Results

We do not guarantee any specific results from the use of our Services, including:

  • Leads, sales, bookings, rankings
  • Response rates, conversions, message delivery
  • Business growth outcomes

Any examples, projections, demonstrations, or estimates are illustrative only and are not promises or guarantees.

15. Disclaimer

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. We disclaim all representations, warranties, and conditions, whether express, implied, or statutory, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or compatibility.

Booked Ai Systems does not provide legal, financial, tax, accounting, or regulatory advice. You are responsible for obtaining your own professional advice where needed.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Booked Ai Systems will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings, arising out of or related to the use of, or inability to use, the Services.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the total amount paid by you to us for the specific Services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes, restricts, or limits any right or remedy that cannot lawfully be excluded, restricted, or limited under applicable law.

17. Refusal, Suspension, and Termination

We may refuse service, suspend access, or terminate Services at any time if:

  • You breach these Terms
  • You fail to pay amounts owing
  • You provide unlawful, misleading, abusive, or infringing content
  • You engage in spam, unauthorized marketing, harassment, or misuse of the Services
  • We reasonably believe continued service may expose us, our providers, or others to legal, security, operational, or reputational risk

Upon termination or suspension, you must stop using the affected Services, and we may disable access to systems, pages, automations, or accounts under our control.

18. Privacy

Your use of the Services is also subject to our Privacy Policy. Where we collect, use, or disclose personal information, we will do so in accordance with applicable privacy laws and our Privacy Policy.

19. Official Notices

Official notices between you and Booked Ai Systems may be sent by email to the most recent email address provided by the receiving party. A notice is deemed received on the date sent, unless the sender receives a bounce-back or other delivery failure notice.

20. Governing Law and Disputes

These Terms are governed by the laws of British Columbia, Canada, and the applicable federal laws of Canada. Any dispute arising out of or relating to these Terms or the Services will be brought before the courts of British Columbia, Canada, unless applicable law requires otherwise.

21. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on our website and will take effect as of the posted effective date unless otherwise stated. Your continued use of the Services after updated Terms are posted constitutes acceptance of those updated Terms.

22. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed and the remainder of these Terms will remain in full force and effect.
